Execution of a significant agreement with a subsidiary of Skarbiec Holding S.A.

The Management Board of Skarbiec Holding S.A. (the “Company”) reports that on February 24th 2015 it executed a comprehensive cooperation agreement with its subsidiary, Skarbiec Towarzystwo Funduszy Inwestycyjnych S.A. (the “Subsidiary”), acting in its own name and on behalf of the investment funds under its management (the “Funds”). The agreement defines the specific terms on which Skarbiec Holding S.A. is to perform activities related to the distribution of investment fund units and other products for Skarbiec TFI S.A.

The agreement was executed on an arm’s length basis and its terms do not differ from standard terms used in agreements of this type. The agreement does not provide for any contractual penalties and does not set forth any conditions or any dates from which a time limit runs or on which a time limit expires.

The agreement has replaced the comprehensive cooperation agreement executed between the parties on January 12th 2011.

In the Company's opinion, the agreement meets the criteria of a significant agreement, as provided for in Par. 2.1.44.b of the Minister of Finance's Regulation on current and periodic information to be disclosed by issuers of securities and conditions for recognising as equivalent of information required under the laws of a non-member state, dated February 19th 2009 (Dz.U. of 2014, item 133).
